<p><span style="font-size: large;">Dopo aver trattato in lungo e in largo della formazione necessaria a diventare medico titolato a gestire un centro di medicina estetica, passiamo a parlare degli aspetti strettamente relativi all’avvio dell’attività, con la location ideale le attrezzature e la forma societaria. Iniziamo con l’ultimo aspetto che ci sembra utile, invece, esaminare per primo, al fine di comprendere la forma giuridica che può essere assunta da un centro simile. La sanità privata, come tutti sanno, ormai si sta orientando verso modelli di impresa e il titolare, oltre a essere un bravo medico dovrà anche proporsi come un abile imprenditore per essere in grado di fornire servizi efficienti e mirati alle esigenze dei pazienti e della clientela. In tale ambito anche la forma giuridica può rivelarsi essenziale per strutturare fin dall’inizio la tipologia del centro che si andrà a creare. </span></p>

<p><strong><span style="font-size: large;">APRIRE UN CENTRO DI MEDICINA ESTETICA : LA FORMA SOCIETARIA</span></strong></p>

<p><span style="font-size: large;">La forma societaria, inoltre, come per qualsiasi altra azienda, permette anche di ricevere specifici finanziamenti per l’avvio dell’impresa. Inoltre, dalla disamina della forma giuridica potremo capire anche l’iter burocratico che porta alla creazione del centro di medicina estetica. Da segnalare che anche i medici estetici possono operare all’interno di uno studio medico. La differenza tra centro medico o ambulatorio specialistico e studio medico è stata affrontata nella seconda parte del reportage dedicato al centro polidiagnostico. Le forme giuridiche di un centro di medicina estetica, invece, vanno di pari passo con le sue dimensioni. Per i centri più piccoli si usa la società in accomandita semplice, per quelli più grandi la società a responsabilità limitata e per quelli con filiali su tutto il territorio nazionale la società per azioni. Quest’ultimo caso è riservato a centri di medicina estetica di dimensioni molto grandi, con diverse filiali e con una struttura organizzativa molto estesa su tutto il territorio nazionale. I grandi centri di medicina estetica contano, spesso, più di 500 dipendenti. La Società in accomandita semplice (Sas) è la struttura societaria preferita da centri di medicina estetica con pochi soci, massimo due, in cui uno è il socio accomandatario e l’altro l’accomandante. La differenza tra questi due soci sta nel fatto che il primo risponde in solido con il patrimonio della società nei debiti verso terzi, mentre il secondo risponde solo nei limiti del capitale conferito. L’accomandatario ha anche il compito di amministrare la società, proprio per la sua maggiore responsabilità all’interno della stessa. La Sas è una società di persone e va costituita con atto pubblico o scrittura privata autenticata da un notaio. Entro 30 giorni dalla costituzione, la Sas va iscritta al Registro delle Imprese. Non esiste un capitale sociale minimo da apportare per la costituzione della società. L’investimento, pertanto, sarà legato alla portata degli oneri relativi alle varie componenti patrimoniali necessarie all’interno della struttura. La Società a responsabilità limitata ( Srl) è una società di capitali dotata di personalità giuridica, cioè i soci rispondono per le obbligazioni verso terzi, solo con il patrimonio aziendale. Si tratta di una forma giuridica che offre le maggiori tutele in caso di fallimento, ma è anche una forma che non è molto appetibile in caso di finanziamenti bancari. Certo, in questo caso stiamo parlando di un centro di medicina estetica e generalmente la medicina privata ha dei guadagni superiori rispetto ad altre tipologie di attività, ( ne parleremo nelle prossime puntate) quindi non ci sentiamo di escludere a priori la Srl, dalle simpatie delle banche. Tornando alla costituzione della società, la Srl viene preferita da centri di medicina estetica di medie dimensioni, dove si prevede l’assunzione di dipendenti e la collaborazione di diversi profili inerenti le varie prestazioni sanitarie offerte.</span></p>

<p><span style="font-size: large;"> La Srl va costituita con atto pubblico, cioè redatto e sottoscritto alla presenza di un notaio. Entro 20 giorni il notaio dovrà registrare l’atto al Registro delle Imprese. Per la costituzione della Srl si richiede un capitale sociale minimo di 10 mila euro. Si prevede anche il versamento di almeno il 25% dei conferimenti in denaro presso una banca e la totalità dei conferimenti dei beni apportati. Nel 2003 alla Srl è stata offerta la possibilità di emettere titoli di debito simili alle obbligazioni per recuperare finanziamenti dai sottoscrittori. Questi debiti, chiaramente, comportano l’obbligo di restituzione da parte della società. Comunque si tratta di un’interessante opportunità per finanziare gli investimenti della struttura che saranno certamente consistenti. La costituzione della Società per azioni ( Spa) avviene sostanzialmente con le stesse modalità della società a responsabilità limitata, solo che il capitale apportato dai soci è formato da quote espresse in azioni. Il capitale sociale minimo da apportate è di 120 mila euro, il 25% di questo deve essere depositato presso una banca. Dal 2003 possono essere costituite società per azioni con un unico socio, dette società per azioni </span></p>

Sotto il profilo fiscale dobbiamo sottolineare che anche per le società che fanno capo a centri di medicina estetica è prevista l’attribuzione del numero di partita Iva, ma trattandosi di medici la parcellazione andrà effettuata come quella già vista nel caso del centro polidiagnostico. Per il versamento dei contributi previdenziali i medici hanno una cassa specifica, si chiama </span><span style="color: #0000ff;"><span style="text-decoration: underline;"><a href="http://www.enpam.it/"><span style="font-size: large;">Enpam</span></a></span></span><span style="font-size: large;">: Ente Nazionale di Prevenzione e assistenza Medici e Odontoiatri. <p lang="en"><span style="font-size: large;"><strong>OPEN AN ARTISAN WORKSHOP: THE PROMOTION</strong></span></p>

<p lang="en"><span style="font-size: large;">One of the things that certainly contributes to the success of the craft laboratory, is the advertising. The workshop of an artisan, is an activity that does not require large investments in advertising, because the real promotion is represented by word of mouth. The craft laboratory, are born in a highly frequented tourist centers, and then, staying in a passageway, is the most important form of advertising that allows you to bring back previous customers and win new ones.</span></p>
<p lang="en"><span style="font-size: large;">The only efforts that the craftsman has to do, are in his skill, creativity and offering affordable prices. Another form of advertising is to sell it through the website of the creations, but this aspect is very secondary to the fact of having to find an area with high transit of visitors. A site with a minimum investment, allows you to sell their creations online to fans and collectors, but also to promote trade with companies who engage in the sale of craft items. Sales directly and those from the web, can live peacefully and coexist even in the case of a craft laboratory. The major peak of sales of such a laboratory, are recorded during the year dedicated to travel and holidays and during the marriage, or Christmas holidays, summer, Easter, when the flow of visitors is more intense, but also the period from April to September in which we organize weddings. Customers of a creaft laboratory,  buy gadgets and souvenirs to take to their home  or to buy the bonbonnieres for the wedding. In the first case, a slice of customers are foreigners, in the second, also by local customers. An important part of the turnover is related to the selling in the stores at wholesale household items, jewelry, shopping lists wedding.</span></p>
